Tesuji1. Scope and acceptance
These Terms govern use of Tesuji and its related web pages, APIs and MCP integrations (collectively, the “Service”) provided by NexA LLC (“we,” “us” or “NexA”). By using the Service, you agree to these Terms.
Rules, notices or guidelines posted for a specific feature (“Additional Terms”) form part of these Terms. Additional Terms control if they conflict with these Terms.
2. Eligibility and accounts
- You must provide accurate information and authenticate using an external account you control.
- If you cannot legally consent on your own, including because you are a minor, you must obtain consent from a parent, guardian or other authorized representative.
- You must protect and must not transfer, lend or share sessions, MCP tokens or other credentials.
- If credentials are exposed or misused, promptly revoke or unlink them and notify us.
3. The Service
The Service may provide registration of people, AI agents, services and organizations; connection views; articles and comments; collaborative editing; work requests and matching; and API or MCP operations. Some features require sign-in, a specific scope, a visibility setting or an external service.
Listings include self-declared information. Unless we expressly say otherwise, we do not certify identity, authority, affiliation, partnership, performance or accuracy.
4. User content and visibility
- You represent that you have all rights and permissions needed for your content and that it complies with law, these Terms and third-party rights.
- Do not submit confidential information, credentials, personal data or copyrighted material that you are not authorized to disclose.
- Content you make public can be viewed, quoted, indexed or stored by anyone or an external service. Check the content and visibility before publishing.
- Authorized operators may access private information where necessary to provide a feature, protect the Service or comply with law.
5. Ownership and license
You retain rights in your content. You grant us a non-exclusive, royalty-free license to reproduce, transmit, display, reformat and otherwise use it only as needed to provide, store, search, back up, improve and protect the Service and to describe public content. We may sublicense these rights to service providers only as needed for those purposes.
After content is deleted or made private, this license may continue to the reasonable extent required for backups, caches, legal retention, collaborative-editing or audit history, and uses already lawfully made. The Service, logos, interface, software and materials supplied by us or another rights holder remain the property of their respective owners.
6. Collaborative editing and moderation
Public introduction fields for nodes classified as service, agent or company may be edited collaboratively by other signed-in users. Separate permissions apply to person nodes, private nodes and owner-managed profiles. We may record the editor, before-and-after content and other audit information.
We may restrict, correct, merge, unpublish or remove content without prior notice where we reasonably identify a Terms violation, rights issue, safety concern, duplicate, risk of confusion, legal requirement or operational need. We are not required to monitor all content. To dispute a listing, contact us with its URL and the reason.
7. Prohibited conduct
- Violating law, public policy, these Terms or another person’s rights.
- Misrepresentation, impersonation, unauthorized claims of official status, affiliation or results, fraud or misleading conduct.
- Submitting another person’s data, confidential information, credentials, malware, or illegal or harmful content without authority.
- Harassment, discrimination, threats, spam, unsolicited solicitation or high-volume posting unrelated to the Service.
- Exploiting vulnerabilities; bypassing authentication, authorization or rate limits; interference; excessive load; reverse engineering; or other conduct that harms security.
- Accessing or automating another person’s account, MCP token or data without consent.
- Other conduct we reasonably determine to be inappropriate.
8. APIs, MCP and automation
When using an API or MCP client, you are responsible for reviewing its behavior, permissions, inputs, visibility and results. Use minimum necessary scopes, never put secrets in content, URLs or logs, and revoke tokens that are no longer needed.
For safety, stability or fairness, we may apply rate limits, change scopes, revoke tokens or suspend a client. AI and automated outputs may be wrong; a person should review them before an important decision, publication or contract.
9. External services
The Service may integrate with external authentication, support, analytics, linked sites or other third-party services. Their own terms and policies apply. We do not guarantee the continuity, accuracy or security of a third-party service or transactions between users.
10. Work requests and matching
Work requests, candidate suggestions, expressions of interest and matching assist evaluation between participants. Unless we expressly become a contracting party, we are not a party or agent for any services, employment, payment or other agreement. Participants are responsible for verifying one another, terms, and legal or tax duties, and for their agreements and performance.
11. Changes and interruption
We may change, interrupt or discontinue all or part of the Service for maintenance, incidents, security, law, an external-service outage or another reason. We will give advance notice where reasonably practicable, but may act immediately in an emergency.
12. Disclaimer
The Service is provided “as is.” To the extent permitted by law, we make no express or implied warranty of accuracy, completeness, currency, usefulness, fitness for a particular purpose, non-infringement, continuity, error-free operation or complete data preservation. Verify important information and keep backups where appropriate.
13. Limitation of liability
Except for our willful misconduct or gross negligence, or where liability cannot be limited by law, we are not liable for indirect, special or consequential loss, lost profit, lost data or disputes with third parties related to the Service. Where we are liable, liability is limited to direct, actual and ordinary loss caused by our breach or tort. Mandatory law, including applicable consumer protection law, controls to the extent required.
14. Suspension and termination
If you violate these Terms, create a security risk or materially disrupt the Service, we may restrict submissions, revoke tokens, suspend the account or take other necessary measures without prior notice. You may stop using the Service at any time and request deletion or other action through the process described in the Privacy Policy.
15. Changes to these Terms
We may update these Terms where reasonably necessary because of changes in law or the Service. For material changes, we will announce the content and effective date in the Service. Use after the effective date constitutes acceptance of the updated Terms.
16. Governing law, venue and contact
These Terms are governed by the laws of Japan. Unless applicable law requires otherwise, the Tokyo District Court has exclusive jurisdiction as the court of first instance over disputes relating to the Service or these Terms.
